(The Club) is a global online buying site, headquartered in the United States, dedicated to providing you with access to a broad range of online stores whose products and services you may wish to purchase via online third party vendors (Advertisers) through their websites by means of an affiliate, publisher, advertising relationship The Club (defined as a Publisher,Associate or Affiliate) enjoys with these advertisers. In this process, our mission is clear: To bring together like-minded, geographically diverse individuals into a single, worldwide buying organization that proudly reflects sound ethical values and in turn enables people from all walks of life to benefit from the opportunity to shop, save and enjoy.

Kindly note that when using specific features on this Site and/or Advertiser sites, you are subject to all publicly disclosed rules, Conditions of Use, Terms & Conditions, Policies & Procedures as indicated by this Site and any and all websites you access by first clicking through an advertising banner link on The Club and then proceeding to an Advertiser site.

INDEPENDENT CONTRACTOR

A Member is defined as an Independent Contractor and like any other business venture, performance will in most cases be consistent with the amount of time, and effort spent on the business.
No contract of employer/employee, master/servant, agent, franchise or any form of joint venture/partnership of any kind between the Member and The Club exists. Members have no power or authority to purport to represent The Club, neither to incur any liability, obligation nor to make any representation or otherwise, whether directly or indirectly, on its behalf. In particular, Members may not initiate nor accept any order nor accept any payment on The Club's behalf. Members are entirely responsible for their own liabilities and obligations incurred in running their business affairs and under no circumstances does The Club accept any responsibility for them. Members hereby agree to indemnify The Club against any liabilities arising out of the acts or omissions of a Member. Each Member agrees to operate his or her business lawfully and comply with all income and applicable taxes and other governmental obligations, insurances, licenses and filing/s of relevant returns and information and to discharge those obligations in a timely fashion and to maintain and keep proper accounts and records. Members are at liberty to set their own hours of operation and to determine their own registered location provided that they are not in contravention of any local, national or international laws and regulations.

The Club has incorporated the Terms & Conditions, Policies & Procedures and "Dividend" Share Plan to govern and regulate proper marketing and invitation functionality to prevent any misuse or misunderstandings of its role, objectives and goals. It is the responsibility of each Member to familiarize him or herself with all current (and as amended from time to time) Terms & Conditions, Policies & Procedures and the "Dividend" Share Plan and further each Member shall conduct his or her Membership activities in strict compliance herewith.

OFFICIAL REPRESENTATION

The Member agrees that his/her sole status with The Club is as a Member, and, if he/she opts to proactively invite others to join The Club as a Member, he/she is solely an Independent Contractor. The Member further affirms that he/she is not an employee, agent, representative, officer, director, subcontractor or any other form of full or part-time participant in the official working activities of The Worlds Biggest Buying Club, Inc. and/or The Club nor its Internet Site.

LEVEL PLAYING FIELD

To be a Member of The Club and to participate in the "Dividend" Share Plan it provides, Membership is open to each and every individual regardless of geographic location (except where prohibited by applicable law), gender, race, nationality, spiritual beliefs, political association, education or state of health, provided the applicant is legally able and willing to enter into a contractual agreement.

MEMBERSHIP

The Club is a global buying site, always open to the general public worldwide, and will features thousands of Advertiser stores from around the world. The Club also offers a free Membership Plan and for those who want to share in The Club’s global success, simply become a Shopper* by purchasing our fantastic My ComPack Silver or Gold Plan for ONLY $24.95 or $39.95 respectively per year. That’s it. Shoppers can qualify for their first quarterly “Dividend” by inviting as few as 3 friends who become Shoppers. Shoppers can qualify for a slice of the pie a share in The Club's total worldwide advertising revenue, of which 50% is paid back to Members every quarter, much like a "Dividend". When Members invite others (Direct Invitations) who in turn join, Members receive a 20% Matching Bonus of all their "Directs" "Dividend" Shares. Applicable matching bonuses are also paid quarterly. The Club will further match 10% of a Member's Quarterly "Dividend" Share that he or she donates to charity, solely as stipulated at the time of Membership formation or when logged onto Membership Details under My Membership Information Panel.

The Club affirms and Members acknowledge that to become Shopper*.The Club affirms and you acknowledge that to become a Shopper* (purchase a Silver or Gold MyComPack Plan each year), you have no further purchasing requirements for that year. Each year your Silver or Gold MyComPack product renewal will be charged automatically to your payment method provided and informing you 60 (sixty) days prior. Please see Share with Friends section on the home page for additional information.

MINIMUM DIVIDEND PAYMENT THRESHOLD

The Club will only pay "Dividends" due to an Active Member once the cumulative amount due exceeds $25 (Twenty Five USD).

PAYMENT METHOD LIMITATIONS

The Club will permit a maximum of 2 (two) My ComPacks accepted per Credit Card.

MEMBERSHIP NUMBER

A Membership Number will be issued by The Club to a new Member upon his or her successful completion of the online application form. Each Member will need this unique number to either login (including password), successfully invite others to The Club or in any other correspondence with The Club.

INVITATION ETIQUETTE AND RIGHT TO INVITE

Members have the opportunity and right to invite individuals only (no companies or non-profit organizations) to their personalized site or The Club's Site and qualify to receive "Dividend" Share payments as per the "Dividend" Share Plan. There are no exclusive territorial areas/borders or restrictions granted to any Member. Prospective Members have the right to choose their referrers, however The Club encourages each applicant to utilize the Member Number/Email Address of the Member who first invited them to The Club/Site. All Members have the right to promote and invite other prospective Members to the Site subject to the provisions of the Terms & Conditions, Policies & Procedures and "Dividend" Share Plan. All Membership Numbers for those who have been invited by an existing Member will begin with the prefix "WB".

MEMBERSHIP RESPONSIBILITIES AND POLICY

Should a Member promote or invite other Members he/she undertakes to use his/her efforts to provide bona fide support and training in all areas of the The Club including, but not limited to, ongoing contact, communication, encouragement and support at all reasonable times.

NO INVENTORY PURCHASE REQUIRED

There is no minimum inventory required to advance in the "Dividend" Share program or to receive a Matching Bonus.

MY COMMUNICATIONS PACK (My ComPack)

For those Members who wish to share in the success of The Club and their excitement about The Club by using a coordinated, professional communications package, The Club will offer an optional range of marketing tools called My ComPack. It is designed to give each Member who selects and purchases it professional tools and materials when sharing or promoting The Club. There are three different Member options for My ComPack:

Bronze: My Card $ 9.95/design
Silver: My Card/My Site $24.95pa
Gold: My Card/My Site/My Email Address $39.95pa

My Card: A Component of My ComPack

My Card is a full color, professional business card design, tailored to each Member's requirements and delivered in high-resolution format. Members can simply print at home or at their favorite print shop.

My Site: A Component of My ComPack

My Site will allow each Member to promote him or herself online as an Independent Member of The Worlds Biggest Buying Club. It helps ensures that a Member is recognized for the people he/she intites to The Club and displays certain personalized content and contact information. Example: www.TheWorldsBiggestBuyingClub.com/RandyGates.

When a Member registers and activates My Site, he/she will be able to select his/her website address (URL) from the options generated by The Club from his/her known name/first name and surname or from his/her Member Number if there is a duplicate name. (Example: www.TheWorldsBiggestBuyingClub.com/RandyGates or www.TheWorldsBiggestBuyingClub.com/RandyGates1 or www.TheWorldsBiggestBuyingClub.com/WB11004100.

Please remember not to include any website addresses (URLs) that contains the following:

Rude language
Variations of your name (?)
Store, product, brand or any other copyright protected names
Blank spaces
Special characters such as: ± ! @ # $ % ^ & * () - _ ~ : ; ? etc.
A good URL should be simple and easy to remember.

My Email Address: A Component of My ComPack

Member's may apply for their own email address that is based on The Club's main address. This option allows Member's to personalize their communications and helps ensure that they are promoting themselves and The Club when they opt to utilize My Email Address in electronic communications. Example: RandyGates@TheWorldsBiggestBuyingClub.com.

Please keep in mind that personalized email addresses are issued on a first- come first-service basis.

When Member's register and activate their My Email Address they will be able to select their custom email address from the options generated by The Club, typically using their first name(or known name) and surname.

(Example: RandyGates@TheWorldsBiggestBuyingClub.com or RandyGates1@TheWorldsBiggestBuyingClub.com.

Member's can purchase one of the three My ComPack plan options online by following the procedures indicated and then successfully completing the authentication and payment process.

Should a Member opt to upgrade/purchase from any of the My ComPack products, please note that the full price for the new level of My ComPack plan selected will be charged each.

PRICING AND FEE CHANGES

All The Club pricing and fees may be subject to change without notice.

APPLICABLE LAWS AND REGULATIONS

The Member agrees that he/she will familiarize and comply with all applicable local, state, regional, national and international laws and regulations as well as code of ethics with regard to performing any and all activities that may be associated with The Club in his/her relevant jurisdiction.

TAX REQUIREMENTS AND RESPONSIBILITIES

There are no mandatory requirements for a Member to submit any Personal Tax Numbers at the time of Membership application. Please check with your local tax official, accountant and/or consultant for your particular situation. The Club does not provide tax advice nor is The Club an authoritative source for tax information or rulings. As a registered corporation in the State of Delaware, United States of America, it is important to note that in the U.S., income (rewards) earned through a taxpayer's business, as an Independent Contractor or from informal side jobs is considered self-employment income, which is considered taxable and must be reported.

Each Member, in their relevant jurisdiction, acknowledges that he/she is an Independent Contractor and is responsible for all applicable taxes that may become due as a result of his/her activities under these provisions and agrees and indemnifies The Club, its Directors, Officers, Employees, Shareholders, Business Partners and Members and agrees to hold them harmless against any and all expenses, claims and damages in association with any taxes that may be due.

QUERIES AND QUESTIONS

Members must report to The Club any queries or questions with regard to Dividend rewards, pricing, changes or enhancements within 7 (seven) days via email to: ContactUs@TheWorldsBiggestBuyingClub.com. The Club will not be held responsible for any problems, errors, acts or omissions not notified within the said 7 (seven) days.

ADVERTISING & PROMOTIONAL MATERIALS

The Member agrees that he/she may not conduct any form of advertising, Club-specific website creation, including and not limited to, domain addresses (URLs) containing any or similar of The Club's wording and phrases such as: The Worlds Biggest Buying Club, The Worlds Biggest, Worlds Biggest, One of the Worlds Biggest, One World One Club, The Club, Shop, Save & Enjoy, Shop Together, Save Together, & Profit Together, The Club Store, Slice of The Pie, Dividend Rewards, (with the exception of My Site as part of My ComPack) or any other form of print, audio, email, and/or Web or other mass public, mass media, advertising/marketing activities without first receiving the express written consent of The Club. Members further agree that All Club intellectual property including but not limited to logos, expressions, descriptions, trademarks are the sole property of The Club and can not be used by any third party or Member without the expressed written consent obtained in advance. The Club will aggressively pursue any and all legal remedies for any breach of use of its written and/or visual marks.

CONFIDENTIALITY AND NON- DISCLOSURE

The Member agrees that all information provided by The Club and/or obtained in activities associated with The Club are Strictly Confidential and can only be utilized for activities associated with The Worlds Biggest Buying Club and can not be disclosed to any other parties without the expressed written consent of The Club obtained in advance. Any attempt to utilize The Club information, procedures, policies, language, text, images, trademarks, expressions, logos, and operating policies is strictly prohibited. Any unauthorized use of (including, but not limited to these examples) Club material as well as marketing strategies, computer software etc. is strictly prohibited. The Member agrees that even if he/she no longer is a Member of The Club, all information remains confidential for a period of three years following termination of the Member's association with The Club. The Club will aggressively pursue any and all legal remedies for any breach of confidentiality and non-disclosure.

"DIVIDEND" SHARE REWARD REPRESENTATION

The Club makes no representation whatsoever regarding the amount a Member may receive as his/her quarterly slice of the pie ("Dividend" Share reward). Any example shown is for informational purposes only and the Member agrees that this material is in no way real or suggests an actual projection of results that may be realized. Members are prohibited from making any representation whatsoever regarding the amount a Member may receive as his/her quarterly slice of the pie ("Dividend" Share reward) without prior written official approval. Success, like any other business venture, will in most cases be consistent with the amount of time and effort spent on the business.

COMPUTER-GENERATED SOLICITATION

The Member agrees that he/she shall not utilize computer-generated solicitations to promote The Club. This includes but is not limited to robo calls, unsolicited emails, bulk emailing to individuals that you do not have a direct, personal relationship with. Further, you agree that any email you may send on behalf of The Club will be to individuals with whom you already have a direct relationship with and you will permit any and all recipients the opportunity to "opt out" that is not receive further contact from you relating to The Club. You further agree to fully abide by all local, regional, national and international rules with regard to solicitations. You further acknowledge and agree that The Club may terminate your Membership for any and all breaches of this clause.

SOCIAL NETWORKING MEDIA

With regard to social networking media including but not limited to: Facebook, MySpace, LinkedIn and other social networking media, the Member agrees that he/she may not utilize any form of advertising, Club-specific, non-sanctioned Club website materials or any other form of print, audio, email and/or Web marketing activities without first receiving the express written consent of The Club. All Club intellectual property including but not limited to logos, expressions, descriptions, trademarks are the sole property of The Club and can not be used by any third party or Member without written consent. The Club will aggressively pursue any and all legal remedies for any breach of use of its written and/or visual marks.

MEDIA INQUIRIES

The Member agrees that any and all media inquiries regarding The Club must be directed specifically to The Club for comment at: Press@TheWorldsBiggestBuyingClub.com. The Member further agrees that he/she shall not speak on behalf of The Club with the press print, TV, radio, Internet, blog or other regarding The Club in any way including but not limited to The Club's activities, policies, incentives, operations and rewards programs.

PASSING OFF/SELLING CLUB MATERIALS

The Member agrees that he/she will not make copies of The Club materials including but not limited to recordings, videos, DVDs, displays, slogans, taglines etc. for the purpose of sale to another individual or individuals.

SALE OR ASSIGNMENT/SUCCESSION OF MEMBERSHIP/POSITION

A Member may only sell his/her Membership/position if he/she has the Title of Club 10 or above and the continued operation of the Member shall be subject to application by the proposed new Member and the acceptance by The Club (which shall be at The Club's sole discretion) of the new Member and provided the proposed Member is not in contravention or may be placed in a position could result in the Member being in contravention of The Club's Terms & Conditions, Policies & Procedures, Dividend Plan. The Club however reserves the unfettered discretion to approve any new Member.

Upon the death or incapacity of a Member, any Dividend rewards accrued at the date of death or incapacity shall be held for the benefit of the deceased or incapacitated Member for up to a maximum of 90(ninety) Days. The continued operation of the Membership shall be subject to application by the proposed new Member (successor) and the acceptance by The Club (which shall be at The Club's sole discretion) of the new Member and provided the proposed Member is not in contravention or may be placed in a position that he/she could result in the Member being in contravention of The Club's Terms & Conditions, Policies & Procedures and Dividend Plan. The Club however reserves the unfettered discretion to approve any new Member.

VOLUNTARY TERMINATION

Within the first seven (7) days of a Member's appointment, he/she has the right to cancel the appointment as a Member without charge nor penalty by giving written notice to that effect. Thereafter, he/she may terminate the appointment at any time without further charge by giving 30 (thirty) days notice to that effect. In each case, notice shall be given via email from his/her registered email address to The Club.

In the event that the Agreement expires or is terminated for any reason, a Member's rights, benefits, obligations and privileges will terminate immediately and he/she agrees that he/she will immediately cease to represent him/herself as an Active Member and comply with all other applicable provisions of the Agreement.

Once his/her appointment has been terminated by him/herself, he/she will only be eligible to renew or re-apply to become a Member through a different Member after six (6) months have elapsed from the effective date of resignation/ termination and after providing, where required, such information or documentation as The Club may require in advance.

In any event associated with voluntary (or involuntary) termination, the (former) Member agrees to abide by all Terms & Conditions, Policies & Procedures with regard to but not limited to Confidentiality, Disclaimer and use of Club materials.

TERMINATION OR SUSPENSION OF MEMBERSHIP

Within the first 7 (seven) days of the appointment, the Member has the right to cancel his/her appointment as a Member at any time without charge nor penalty by giving written notice to that effect to The Club; thereafter, the Member may terminate his/her appointment at any time without further charge by giving 30 (thirty) days written notice to that effect. In each case the notice shall be given to The Club via email to: Cancel@TheWorldsBiggestBuyingClub.com from his/her registered email address.

The Club may terminate this agreement without being obliged to provide any reason nor excuse therefor, without liability, by giving the Member 30 (thirty) days written notice to that effect to the most recent registered email address . The Club reserves the right, in its sole and unfettered discretion, to appoint another Member in his or her place and stead.

If the Member cancels this Agreement within the first seven (7) days, he/she may additionally cancel any complete or unfulfilled orders placed directly with The Club for its products and/or services, without charge and receive a full refund of anything he/she has properly paid in connection with his/her participation in The Club "Dividend" Share Program. As a Member you agree that any Member order/s placed with Advertisers via the Club during the first seven(7) days of your Membership and throughout the term of your Membership with The Club represent a contract and/or agreement between you, the Member, and the Advertiser of which The Club is not party.

If the Member terminates his/her appointment within seven (7) days of entering into it, or if The Club terminates the appointment, then the Member shall have no further contractual obligations.

In any event associated with voluntary (or involuntary) termination, the (former) Member agrees to abide by all Terms & Conditions, Policies & Procedures with regard to but not limited to Confidentiality, Disclaimer and use of Club materials.

The Club shall, without prejudice to any of its rights herein set forth, in particular its rights herein set forth to cancel forthwith without lawful reason nor excuse, may upon written notice to the Member, suspend the appointment of the Member immediately, and for such period as it in its sole discretion decides without incurring any liability of whatsoever nature, if, in the sole and unfettered discretion of The Club, the Member have, or is suspected of, breached any of the terms of this Agreement, or conducts him or herself in a manner which in The Club's sole opinion has prejudiced, affected or materially infringed upon the contractual relationship which hitherto existed between the Member and The Club. Should the Member in the event of notice of breach is given to him by The Club not remedy the breach of the agreement and/or not rectify the breakdown in the relationship within seven (7) days of The Club giving written notice to the Member of such breach and/or breakdown of the relationship, The Club shall be entitled to immediately cancel the appointment of the Member without incurring any liability of whatsoever nature. Nothing in this Agreement shall preclude The Club from invoking and inforcing any other remedies against the Member, including, but not limited to recovery of such, damages suffered by The Club as a result of any breach of the Agreement or other conduct construed as being detrimental or potentially detrimental to The Club its interests, purposes and goals.

The Club shall be entitled to terminate the appointment of the Member immediately, without liability, if the Member breaches or infringes any of the terms of this agreement, or conducts himself in a manner which in the Club’s sole unfettered discretion and opinion cannot further sustain any form of continued association or contractual relationship.

The Club without prejudice to any of its other rights herein set forth and notwithstanding anything else to the contrary anywhere in this agreement contained, shall be entitled to cancel forthwith without any prior notice and without providing any reason nor excuse.

CONSEQUENCES OF SUSPENSION

In the event that this Agreement is suspended as above, the Member agrees that he/she will immediately cease to represent himself or herself as a Member, cease to refer prospective Customers, Guests and/or Members and supply The Club with any information which may be requested in order for The Club to determine the outcome of the suspension. For the duration of the suspension, all "Dividend" payments calculated on the The Member's Organisation will be accrued pending the outcome of the suspension. Should the matter be resolved and the suspension of the Agreement be removed, the Dividend rewards will be paid over/credited within 48-hours of the Member being notified in writing (via email) of such resolution. Conversely, should the suspension not be resolved in the Member's favour, no benefits will be received.

CONSEQUENCES OF TERMINATION/CANCELLATION

In the event that this Agreement expires or is terminated for any reason, the Member agrees that he/she will immediately cease to represent himself/herself as a Member, cease to refer prospective Customers and/or Members and forthwith return to The Club all Corporate Materials including any advertising materials pertaining to The Club and comply with all other applicable provisions of this Agreement.

Once a Member's appointment has been terminated by the Member, he/she will only be eligible to re-apply to become a Member through a different Member after 6 (six) months have elapsed from the effective date of termination and after providing, where required, such information or documentation as The Club may require in advance.

RETURN OF All CONFIDENTIAL INFORMATION

A Member, upon termination of his/her relationship with The Club for any reason whatsoever, voluntary or involuntary, agrees to return all Club materials and not utilize these materials in any way publicly or privately subject to the full force and effect of the Confidential Information and CONFIDENTIALITY AND NON- DISCLOSURE AGREEMENT clauses. The Club will aggressively pursue any and all legal remedies for any breach of confidentiality and non-disclosure.

SEVERABLITY

If any provision in the Terms & Conditions, Policies & Procedures and the Agreement shall be held to be unenforceable or invalid that provision shall be severable from the remaining parts of such provisions and the remainder of the Agreement shall continue to be binding in full force and effect.
